THIS SWEEPSTAKES IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH META, FACEBOOK OR INSTAGRAM, AND ANY REFERENCE TO ANY OF ADMINISTRATOR (AS HERIENAFTER DEFINED) AND SPONSOR’S (AS HEREINAFTER DEFINED) PRODUCTS, SERVICES, OR OFFERINGS BY TRADE NAME, TRADEMARK, MANUFACTURER, SUPPLIER OR OTHERWISE DOES NOT CONSTITUTE OR IMPLY ENDORSEMENT, SPONSORSHIP OR RECOMMENDATION THEREOF BY META, FACEBOOK OR INSTAGRAM.
Thomasville x Living Style Group Sweepstakes (the “Sweepstakes”) is sponsored by Living Style Group, 202 N Spring Street, Suite A, Tupelo, MS, 38804 (“Sponsor”), and administered by Thomasville, HHG IPCO, LLC (a Delaware limited liability company), 1411 Broadway New York, NY 10018 (“Administrator”).
1. ELIGIBILITY: This Sweepstakes is open only to legal residents of the forty-eight (48) United States and the District of Columbia who are eighteen (18) years of age or older at the time of entry. The Sweepstakes is not open to residents of Alaska or Hawaii. Void where prohibited by law. Employees (and their immediate family or household members) of Sponsor and its current and future parent, affiliates, subsidiaries, divisions, and related companies, licensees, suppliers, printers and advertising, promotional and judging agencies or any other company or individual involved with the design, production, execution or distribution of the Sweepstakes are not eligible. "Immediate family members" shall mean parents, stepparents, children, stepchildren, siblings, stepsiblings, or spouses, regardless of where they live. "Household members" shall mean people who share the same residence at least three (3) months a year, whether related or not. The Sweepstakes is subject to all applicable federal, state and local laws, codes, statutes and regulations. Participation constitutes each entrant’s (each, an “Entrant”) full, unconditional and irrevocable agreement to be bound by these Official Rules and the decisions of the Administrator, whose decisions shall be binding and final in all respects relating to this Sweepstakes. Winning a Grand Prize (as hereinafter defined) is contingent upon fulfilling all requirements set forth herein.
2. SWEEPSTAKES ENTRY PERIOD: The term of the Sweepstakes begins at 10:00 a.m. Eastern Standard Time (“EST”) on November 11, 2022 and ends at 11:59 p.m. EST on December 11, 2022 (the “Sweepstakes Entry Period”). Within the Sweepstakes Entry Period, there is one (1) corresponding random drawing (the “Drawing”) as outlined in the “Sweepstakes Entry Period & Drawing Schedule” below. Entries must be received during the Sweepstakes Entry Period to be eligible for that Sweepstakes Entry Period’s Drawing and Grand Prize. Non-winning entries for a Sweepstakes Entry Period will not roll over to any subsequent Sweepstakes Entry Period, if any. Eastern Standard Time shall control for all purposes of this Sweepstakes.

3. HOW TO ENTER: NO PURCHASE NECESSARY. To enter the Sweepstakes, you must: (1) follow @Thomasville’s verified Instagram account (i.e., @thomasvilleofficial) (the “Social Account”); (2) like the Social Account’s Instagram post announcing the Sweepstakes (the “Post”); and (3) tag at least one (1) friend in the comments of the Post (collectively, an “Entry”). There is a limit of one (1) Entry per person per day during the Sweepstakes Entry Period. In order to be eligible for any given Sweepstakes Entry Period’s Drawing and Grand Prize, your Entry must comply with all terms and conditions of the Sweepstakes and must be posted during the applicable Sweepstakes Entry Period. By participating, you are indicating that you have read, understand and fully agree to these Official Rules. Your Instagram account must be publicly viewable in order to enter the Sweepstakes. Administrator and/or Sponsor is/are not responsible for lost, late, incomplete, invalid, or misdirected submissions, all of which will be disqualified. In the event of any dispute, the authorized Instagram account holder will be deemed to be the Entrant. The “authorized Instagram account holder” is the natural person assigned to the Instagram account. Potential winner(s) may be required to show proof of being the authorized account holder. To be eligible for the Sweepstakes, each Entry must be posted in compliance with the format and other requirement set forth on Instagram where persons may submit entries; such requirements being made a part of these Official Rules and incorporated herein by reference. Entries must be manually keystroked by Entrant; use of programmed, robotic or like means of entry (including third party contest services) is prohibited. Administrator and Sponsor will not acknowledge receipt of any Entry.
4. TERMS OF SUBMISSION: By entering the Sweepstakes, you represent and warrant that you are the owner or licensee of any and all materials and information, including comments and personal information, submitted by you to the Sweepstakes and you automatically grant, and you represent and warrant that you have the right to grant, to Administrator and Sponsor an irrevocable, perpetual, non-exclusive, transferable, fully-paid-up, royalty-free, worldwide license (with the right to sublicense at multiple levels) to use, copy, publicly perform, publicly display, reformat, translate, excerpt (in whole or in part), transfer, distribute any such materials for any purpose and in any format on or in connection with the social media account where you submit your Entry or its affiliated or partner sites, the Administrator’s or Sponsor’s respective businesses, or the promotion thereof, prepare derivative works, incorporate into other works, and/or grant and authorize sublicenses of the foregoing. Submissions must not, in the sole and unfettered discretion of the Administrator and/or Sponsor, contain obscene, provocative, defamatory, sexually explicit, or otherwise objectionable or inappropriate language, and Submissions must not infringe any intellectual property rights of third parties. You furthermore represent and warrant that all persons and entities connected with the materials and information submitted in connection with the Sweepstakes have authorized the use of their names, tagging of their social media accounts, photographs and likeness, and biographical data in connection with the advertising, promotion, trade and other exploitation of the materials and information and the rights granted herein. You understand that Administrator and Sponsor reserve the right to disqualify Entrants from the Sweepstakes at any time for any reason at its sole and absolute discretion. BY PARTICIPATING, THE ENTRANT REPRESENTS AND WARRANTS TO ADMINISTRATOR AND SPONSOR THAT THE ENTRANT HAS ALL RIGHT, TITLE AND INTEREST NECESSARY TO GRANT THE ADMINISTRATOR AND SPONSOR THE WORLDWIDE, ABSOLUTE, IRREVOCABLE AND UNRESTRICTED RIGHT AND LICENSE TO ADAPT, PUBLISH, USE, REUSE, EDIT, AND/OR MODIFY THE CONTENT CONTAINED IN THE ENTRY IN ANY WAY AND POST THE CONTENT ON THE INTERNET OR USE THE CONTENT IN ANY OTHER WAY AND AGREES TO INDEMNIFY, DEFEND AND HOLD ADMINISTRATOR AND SPONSOR HARMLESS FROM ANY AND CLAIMS TO THE CONTRARY.
5. SELECTION OF WINNER: On or about 12:00pm EST on December 12, 2022 (“Drawing Date”) Administrator shall select one (1) Entry from the Sweepstakes Entry Period for the Grand Prize described above in one (1) random Drawing of all valid Entries during the Sweepstakes Entry Period, For the avoidance of doubt, there will be a total of one (1) random Drawing for this Sweepstakes. The potential winner will be selected in a random drawing from among all eligible Entries received within each Sweepstakes Entry Period on or about the corresponding Entry Period Drawing Date and Time indicated in the Sweepstakes Entry Period & Drawing Schedule above. Exact timing of the Grand Prize selection will be at the sole and absolute discretion of the Administrator and Sponsor. There is a limit of one (1) Grand Prize per person per Sweepstakes Entry Period. The selected Entrant will be contacted at such Entrant’s Instagram page via a direct message from the Administrator. The potential Grand Prize winner must follow the Grand Prize claim instructions, including, but not limited to, providing the following within one (1) day of Sponsor and/or Administrator’s request therefore: (1) Entrant’s mobile phone number and e-mail address; (2) Entrant’s home address for delivery; and (3) ensure and confirm that there is sufficient space in Entrant’s home to receive delivery of the Grand Prize, among other details, as provided as part of the notification and any subsequent claim instructions by Sponsor and/or Administrator, or the Grand Prize will be forfeited in its entirety. It is recommended that you confirm your Instagram notification settings are turned on. Administrator and Sponsor’s decisions as to the administration and operation of the Sweepstakes and the selection of the potential Grand Prize winner is final and binding in all matters related to the Sweepstakes. Grand Prize winner(s) will be notified within approximately one (1) business day after the Drawing(s). Failure to respond to the initial notification within twenty-four (24) hours will result in disqualification. An alternative winner shall be chosen and notified on or about December 15, 2022. Odds of winning a Grand Prize depend on the number of eligible Entries received during the Sweepstakes Entry Period.
6. THE POTENTIAL SWEEPSTAKES GRAND PRIZE WINNER(S) IS/ARE SUBJECT TO VERIFICATION BY ADMINISTRATOR AND SPONSOR WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES.
7. VERIFICATION OF POTENTIAL GRAND PRIZE WINNER(S):
The potential Grand Prize winner(s) must continue to comply with all terms and conditions of these Official Rules and winning is contingent upon fulfilling all requirements. The potential Grand Prize winner(s) may be required to sign and return to Administrator and/or Sponsor, within five (5) days of the date notice is sent, an affidavit of eligibility, and liability/publicity release (except where prohibited) in order to claim the Grand Prize, if applicable. If any potential Grand Prize winner cannot be contacted, fails to sign and return the affidavit of eligibility and liability/publicity release within the required time period (if applicable), or if the Grand Prize or Grand Prize notification is returned as undeliverable, the potential Grand Prize winner forfeits the Grand Prize. In the event that potential winner(s) of the Grand Prize are disqualified for any reason, Administrator and/or Sponsor may award the applicable Grand Prize to an alternative winner(s) by random Drawing replacement from among all remaining eligible Entries. An alternate Grand Prize winner(s) will be a selection made by Administrator in its sole discretion.
8. GRAND PRIZE AND APPROXIMATE RETAIL VALUE:
One (1) Grand Prize will be awarded. The Grand Prize winner (“Winner”) will be awarded one (1) white 8-piece Thomasville Lowell Sectional with the dimensions of 118 inches width x 152 inches length x 37 inches height (the “Grand Prize”), and the Grand Prize having an approximate retail value of Two Thousand Nine Hundred Ninety-Nine United States Dollars and Ninety-Nine United States Cents ($2,999.99 USD). There is a limit of one (1) Grand Prize per Sweepstakes Entry Period. No cash equivalent for any Grand Prize will be awarded. Each Grand Prize is non-transferable, and no substitution will be made except as provided herein at the Administrator and Sponsor’s sole and absolute discretion. Administrator and/or Sponsor reserve the right to substitute the listed Grand Prize for one (1) of equal or greater value for any reason or no reason whatsoever. Excluding shipping and handling costs which shall be provided for by the Sponsor, a Winner is responsible for all fees associated with Grand Prize receipt and/or use. All federal, state, and local tax liabilities are the sole and absolute responsibility of a Winner. Each potential Winner may be required to supply Sponsor and/or Administrator with his/her social security number for tax purposes. Subject to the foregoing requirements, the Prize shall be delivered to Winner directly by Sponsor and Sponsor may contact Winner if more information is needed.
In advance of delivery of the Grand Prize, Sponsor shall confirm the expected delivery method and the expected delivery date range to the Winner. Winner must confirm to the Sponsor in writing that they will be present at the delivery address Winner previously provided to Sponsor to receive the Grand Prize. Winner must be available via mobile phone and/or email via the contact information previously provided to Sponsor, should there be any time sensitive communications regarding the delivery of the Grand Prize on the actual date of delivery.
9. ODDS OF WINNING: Odds of winning the Grand Prize for any given Sweepstakes Entry Period depend on the total number of eligible Entries received during the same Sweepstakes Entry Period.
10. ENTRY CONDITIONS AND RELEASE: By participating, each Entrant fully and unconditionally agrees to: (a) comply with and be bound by these Official Rules and the decisions of the Sponsor which are binding and final in any and all matters relating to this Sweepstakes; (b) release and hold harmless the Administrator, Sponsor, Meta, Instagram, Facebook and their respective parent, subsidiary, and affiliated companies, the Grand Prize supplier(s) and any other organizations responsible for sponsoring, fulfilling, administering, advertising or promoting the Sweepstakes, and all of their respective past, present and future officers, directors, shareholders, employees, agents, representatives and licensees (collectively, the “Released Parties”) from and against any and all claims, expenses, losses, damages and liability, including but not limited to negligence, damages of any kind to persons, animals and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damages, or death or personal injury arising out of or relating to a participant’s Entry, creation of an Entry or submission of an Entry, participation in the Sweepstakes, acceptance or use or misuse of the Grand Prize (including any travel or activity related thereto) and/or the broadcast, exploitation or use of Entry; (c) indemnify, defend and hold harmless the Administrator and Sponsor from and against any and all claims, expenses, losses, damages and liabilities (including reasonable attorney’s fees) arising out of or relating to an Entrant’s participation in the Sweepstakes and/or Entrant’s acceptance, use or misuse of the Grand Prize; and (d) consent as required by applicable law to Administrator and Sponsor’s use of information collected for purposes of operating the Sweepstakes and for statistical purposes.
11. GENERAL CONDITIONS: Administrator reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures or any other factor beyond Administrator’s reasonable control that impairs the integrity or proper functioning of the Sweepstakes, as determined by Administrator in its sole and absolute discretion. Administrator reserves the right to cancel Sweepstakes if too few Entries are received. Administrator reserves the right in its sole and absolute discretion to disqualify any Entrant acting in violation of these Official Rules or found tampering with the Entry process or with the operation of the Sweepstakes or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Administrator and Sponsor hereby expressly reserve the right to seek damages from any such person to the fullest extent permitted by law. Administrator and Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. In the event the Sweepstakes is terminated early, a winner will be selected from all eligible Entries received at the time of termination. Notice of such action by Administrator will be posted on the Thomasville Facebook page located at: https://www.facebook.com/Thomasville/.
12. LIMITATIONS OF LIABILITY: The Released Parties are not responsible for: (a) any incorrect or inaccurate information, whether caused by Entrant(s), printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (b) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (c) unauthorized human intervention in any part of the Entry process or the Sweepstakes; (d) technical or human error which may occur in the administration of the Sweepstakes or the processing of Entries; or (e) any injury or damage to persons, animals, or property which may be causes, directly or indirectly, in whole or in part, from Entrant’s participation in the Sweepstakes or receipt or misuse of any Grand Prize. If for any reason an Entrant’s Entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, Entrant’s sole remedy is another Entry in the Sweepstakes. No more than the stated number of Grand Prize(s) will be awarded.
13. PUBLICITY: Except where prohibited by law, participation in the Sweepstakes constitutes participants consent to Sponsor, Administrator, and its licensees, and other designee’s use of winners’ names, images, likeness, photograph, voice, opinions and/or hometown and other indicia of his/her persona for advertising/publicity/trade or promotional purposes in any and all forms of media, worldwide, without notice, review, approval, or further payment or consideration.
14. DISPUTES: Entrant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or any prizes (including the Grand Prize) awarded, other than those concerning the administration of the Sweepstakes or the determination of winners, shall be resolved individually, without resort to any form of class action; (b) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or any prizes (including the Grand Prize) awarded, shall be resolved exclusively by the United States District Court or the appropriate New York State Court located in the New York County, New York; (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (d) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor and/or Administrator in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York, without giving effect to any choice of law or conflict of law rules (whether of the State of New York or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York.

16. ENTRANT’S PERSONAL INFORMATION: Administrator may collect non-public personally identifiable information in connection with the operation of the Sweepstakes. Information collected on-line from Entrants is subject to the Administrator’s Privacy Policy, which is available at https://www.authenticbrands.com/privacy-policy. Administrator is not responsible for disclosures made by any third party. You understand that you are providing your information to Administrator and not Instagram.
